PPM (Private Placement Memorandum)
A PPM (Private Placement Memorandum), also referred to as as Offering Memorandum, is a technical document prepared by organizations wanting to raise capital funds through the sale of private securities without having to undergo full registration as mandated under federal securities law. Although the PPM is generally exempt from full registration, the offering is nevertheless required to comply with mandatory state and federal disclosures.
Raising money privately through a PPM by definition is selling securities. The PPM generally targets an allowable program offering an investment opportunity to private accredited investors - individuals or entities deemed to have the financial capacity to bear the loss of the investment. The PPM details specific investment terms and describes the opportunity. The U.S. Securities and Exchange Commission has issued a summary of exempt offerings. The summary is not to be used as a substitute for the program's rules and regulations.

Regulation D - Rule 506(b)
Regulation D Rule 506(b) is a popular program for raising capital as it allows the offeree (your company) the ability to solicit an unlimited number of accredited investors and also up to 35 "sophisticated" investors who are not accredited. The downsides are the additional requirement that must be disclosed and limitations on general solicitation.
Regulation D - Rule 506(c)
Regulation D Rule 506(c) is an extremely popular program for raising capital by offerees (your company) with access to a network of accredited investors. Non-accredited (or "sophisticated") investors are not allowed to invest. You may also solicit your offer utilizing general solicitation rules.
Regulation Crowdfunding
Crowdfunding is a relatively recent equity funding option. Some of the restrictions to this alternative include funding limits of up to $1 million in a 12-month period, the offering must be made through a platform, the offering requires the preparation of Form C, and securities in a crowdfunding offering are subject to certain transfer restrictions for one year.
